1. Definitions
The following meanings will be used for terms in these terms and conditions:
“We” means Noorgren.
“Client” means you.
“Project” means the body of work that is being undertaken.

2. General
Noorgren is committed to providing the best possible service in the interest of the Client once project terms have been agreed upon.

To manage project details more effectively, please keep project correspondence in written form via email.

We endeavour to respond to any specific queries, questions, and quote requests within a business day.

Quotes are provided in writing and issued via email for Client approval.

Upon receiving a client request, Noorgren will decide on a fixed-price quote. The Client may accept or decline the quote. Quotes are valid for 30 days.

Accepting a quote is a confirmation of project commitment. Cancellation after this stage may result in reimbursement costs for the time booked by Noorgren.

Accepting a quote is a confirmation of project commitment. Cancellation after this stage may result in reimbursement costs for the time booked by Noorgren.

Items not outlined in the original quote may incur extra costs added to the final bill. Extra costs may include (but are not limited to): changing the original text, e.g. added or changed paragraphs, graphics, headings and other text. The Client can request these changes at an additional cost, including a price estimate of the additional cost before work begins.
4. Invoicing and delivery
New clients may be required to pay a deposit before the commencement of a project. Work will begin once the payment is received. Long-standing clients are not required to pay in advance.

The finished project will be delivered to the Client on the website/app/other system of their choice. Longer texts, e.g. blogs, articles, and other content, can also be delivered in PDF or markdown.

The original quotation includes a thorough review to ensure that the finished product meets the Client’s wishes.

5. Payment
On accepting the quotation offer in writing, the Client confirms that they accept these terms and conditions. The Client may in some cases be required to pay a deposit.

Payments are processed through invoices and are expected to be made within seven days of the final invoice date.

6. Time frame
The original quote offer will include an estimated time frame.

Noorgren makes every effort to achieve agreed delivery dates. Noorgren cannot accept liability or be held financially responsible for any targets or deadlines missed for delivery of any work resulting from extenuating circumstances.

Extenuating circumstances may include (but are not limited to):
  • Other parties unable to fulfil their agreed delivery times
  • Sickness or personal injury
  • Any extraordinary incidents beyond the control of Noorgren, including fire, flood, and failure of power supply
  • Theft, damage, or loss of equipment, documents or other items required to complete the work.

7. Terminating a project
If the Client is dissatisfied with the work produced under this agreement, Noorgren will attempt to reach a favoured solution for all parties. Otherwise, the Client is entitled to end the agreement.
If the Client chooses to leave the agreement, Noorgren reserves the right to request payment for the time spent up until the date of cancellation. Noorgren will keep time records throughout all projects.

The Client will also need to pay any pending extra costs accumulated during the project before ending the agreement.

There may also be a reimbursement for the booked time that has been cancelled.

If the Client has paid a deposit that accumulates to a higher sum than the total cost of hours undertaken before cancellation and reimbursement, Noorgren will refund the difference back into the account of the original payee.

Any outstanding fees will be expected to be paid within seven days of the cancellation.

Noorgren reserves the right to cancel any project at any given time if the project, Client, or any parties involved do not meet the requirements outlined in these terms. Cancellation fees and terms still apply.

8. Disputes
If the Client has any disputes before, during, or after a project, the Client may email hello@noorgren.com to resolve issues effectively and appropriately.

Any claims made by the Client against Noorgren are limited to the amount of the total payment made to Noorgren by the Client.

Any changes required after the final sign-off may incur extra costs. In some cases, such as printed material, the possibility of making changes will depend on production.

9. Legal
Noorgren reserves the right to change the Terms and Conditions at any time without prior notice.

These Terms of Use and any dispute or claim arising out of, or related to them, shall be governed by and construed under the laws of Denmark.
